As of April 1, 2025, operations in the areas of Fire Ventilation and Natural Smoke Ventilation have been transferred to Mercor Light&Vent sp. z o.o., a company wholly owned by “MERCOR” S.A.
On April 1, 2025, “MERCOR” S.A. acquired 553,975 newly created shares in the share capital of Mercor Light&Vent sp. z o.o., with a total nominal value of PLN 27,698,750.
As a result of the contribution in kind, the share capital of Mercor Light&Vent sp. z o.o. (after the registration of the capital increase in the National Court Register) will amount to PLN 27.703.750.
Mercor Light&Vent sp. z o.o. assumes warranty obligations previously granted by “MERCOR” S.A. in relation to existing contracts. Bank guarantees issued by “MERCOR” S.A. as security for agreements shall remain unchanged.
Mercor Light&Vent sp. z o.o. is authorized to perform servicing activities for equipment manufactured by “MERCOR” S.A., including technical inspections and maintenance, in accordance with technical documentation. This covers all types of devices and systems related to Natural Smoke Ventilation and Fire Ventilation produced to date by “MERCOR” S.A.

Mercor Light&Vent sp. z o.o. is an active VAT taxpayer, and its bank account numbers are listed on the so-called “white list”.
